Terms of Service

1. Acceptance of Terms

By creating an account or using the ResinOps platform ("Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

ResinOps is a business-to-business software platform for managing cannabis facility operations, including cultivation, production, compliance, quality control, and financial tracking. ResinOps does not sell, distribute, or facilitate the sale of cannabis or cannabis products to consumers.

3. Eligibility

The Service is intended for use by individuals and businesses that hold valid cannabis licenses in their jurisdiction. By using ResinOps, you represent that you are at least 18 years of age (or 21 where required by applicable law) and that your use of the Service complies with all applicable federal, state, and local laws and regulations.

4. Your Account

You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account. Notify us immediately at alex@oldguardcannabis.com if you believe your account has been compromised.

ResinOps offers optional two-factor authentication (2FA). If you enable it, you are responsible for retaining access to your authentication method; we cannot bypass 2FA on your behalf without independently verifying your identity.

5. Team Accounts & Permissions

Facility owners and admins may invite team members and assign each one a role and, where enabled, section-level permissions. The facility owner/admin is solely responsible for deciding who to invite and what access to grant them. ResinOps enforces the permissions configured by your facility's admins but is not responsible for a facility's own decisions about who should have access to what.

6. Your Data

You retain ownership of all data you enter into ResinOps. We do not claim ownership of your facility data, operational records, or business information. You grant us a limited license to store, process, and display your data solely for the purpose of providing the Service to you.

You are responsible for the accuracy and legality of data you enter into the Service. ResinOps is not responsible for verifying the accuracy of your operational records, compliance data, or regulatory submissions.

ResinOps includes AI-powered features (Operations Analyst, strain description generation, smart data import) that use automated analysis to provide insights and suggestions. These features are informational tools and should not be relied upon as the sole basis for regulatory compliance decisions, financial decisions, or safety-critical operations. Always verify AI-generated outputs against your own records and professional judgment.

Where the AI Assistant references regulatory text (for example, citing a specific state's rules), it is retrieving and quoting excerpts from a reference database we maintain — it is not legal advice, may not reflect the most current version of a regulation, and may not cover every jurisdiction. Always confirm current requirements with the applicable regulatory agency or your own legal counsel before acting on them.

9. Compliance Disclaimer

ResinOps provides tools to help you organize and document your compliance activities (pesticide logs, batch records, GMP documentation). However, ResinOps is not a legal or regulatory compliance service. We do not guarantee that using ResinOps will satisfy all regulatory requirements in your jurisdiction. You are solely responsible for ensuring your operations comply with all applicable laws and regulations.

10. METRC and Third-Party Integrations

ResinOps may integrate with third-party systems such as METRC, Flourish, BioTrack, and others. These integrations are provided as-is. We are not responsible for errors, outages, or data discrepancies originating from third-party systems. Your use of third-party integrations is also subject to those providers' terms of service.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or modifications that temporarily affect availability. We will provide reasonable notice of planned downtime when possible.

12. Limitation of Liability

To the maximum extent permitted by law, Old Guard Cannabis Advisors LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us for the Service in the 12 months preceding the claim.

13. Termination

You may close your account at any time by contacting us. We may suspend or terminate your access to the Service if you violate these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to use the Service ceases immediately. You may request export of your data prior to account closure.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice within the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the State of New York.
